Traffic Noodle Terms of Service

These Terms of Service ("Terms") govern your use of Traffic Noodle, a product owned and operated by Gov Noodle LLC ("Gov Noodle," "we," "us," or "our"). By accessing or using Traffic Noodle, you agree to be bound by these Terms. If you do not agree, do not use our services. These Terms apply specifically to the Traffic Noodle product; other Gov Noodle products may have separate terms.


1. Description of Service

Traffic Noodle is a software-as-a-service platform that integrates with Traffic Logix to provide traffic data analytics, visualization, and public dashboard capabilities for municipalities and other organizations.

Important: Gov Noodle and Traffic Noodle are not affiliated with, endorsed by, or associated with Traffic Logix, TAPCO (Traffic and Parking Control Co., LLC), Peak Rock Capital, or any of their subsidiaries or parent companies. Traffic Logix is a trademark of its respective owner.

Our service depends on data availability from Traffic Logix and your valid API credentials. We do not control Traffic Logix's systems, API availability, or data accuracy.


2. Eligibility

Our services are intended for municipalities, government entities, and authorized organizations. By using our services, you represent that you have the authority to bind your organization to these Terms and that your use complies with all applicable laws and regulations.


3. Account Registration

To use our services, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials, including any API keys you provide. You are responsible for all activities that occur under your account. Notify us immediately at hello@govnoodle.com if you suspect unauthorized access.


4. Fees and Payment

Traffic Noodle is offered as a paid subscription. Current pricing is available at trafficnoodle.com/pricing. By subscribing, you agree to pay the applicable fees.

  • Billing: Subscriptions are billed in advance according to your selected plan.
  • Refunds: Fees are non-refundable except as required by law.
  • Price Changes: We may change pricing with 30 days notice. Changes apply at your next renewal.
  • Taxes: You are responsible for any applicable taxes not included in our fees.

5. Acceptable Use

You agree not to:

  • Use our services for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the integrity or performance of our services
  • Reverse engineer, decompile, or attempt to extract the source code of our software
  • Resell, sublicense, or provide access to our services to third parties without authorization
  • Use automated means to scrape, crawl, or extract data from our services beyond normal use

6. Intellectual Property and Data Ownership

Your Data

You own your traffic data. The data collected by your speed signs and synced through our services belongs to you, not to us or to Traffic Logix. We make no ownership claims to your data. By using our services, you grant us a limited license to process, store, and display your data solely to provide the services to you.

Our Services

Gov Noodle retains all rights to our software, platform, branding, and documentation. We provide a visualization and analytics layer for your data—we do not claim ownership of the underlying data. These Terms do not grant you any rights to our intellectual property except the limited right to use our services as provided.

If you provide suggestions or feedback about our services, we may use it without obligation to you.


7. Public Data Transparency

Important — Please Read Carefully: Traffic Noodle is designed for public transparency. By connecting your Traffic Logix API and syncing data, you understand and agree that your traffic data will be publicly accessible to anyone on the internet. This is not optional—it is the core purpose of the service.

What is public: All traffic data synced from your Traffic Logix account—including vehicle counts, speed measurements, location names, and historical trends—will be displayed on public dashboards viewable by anyone without a login.

What remains private: Your account credentials, API keys, and administrative settings are accessible only to authorized users with login credentials. We do not publicly expose your account information or API credentials.

By using Traffic Noodle, you represent that you have the authority to make this data publicly available and that doing so complies with your organization's policies and applicable laws. You accept full responsibility for the decision to publish this data. We are not responsible for any consequences arising from the public availability of your traffic data.


8. Third-Party Services and Service Availability

Traffic Noodle integrates with Traffic Logix and may use other third-party services. Your use of Traffic Logix is governed by your separate agreement with them, not these Terms.

Your Responsibility: By providing your Traffic Logix API credentials, you represent and warrant that (a) you are authorized to use those credentials, (b) your use of Traffic Noodle does not violate your agreement with Traffic Logix, and (c) you have any necessary rights or permissions to make your traffic data publicly available. We are not responsible for any consequences if your use of our services violates your agreement with Traffic Logix or any other third party.

No Service Level Agreement: We do not offer a service level agreement (SLA). We strive to maintain reliable service but do not guarantee specific uptime percentages or response times.

Third-Party Dependency: Our service depends on the availability and functionality of Traffic Logix's API. We are not responsible for outages, data discrepancies, or service interruptions caused by changes to Traffic Logix's systems, API, or policies. If Traffic Logix modifies or discontinues their API, our ability to provide services may be affected without liability to you.


9. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be uninterrupted, error-free, or secure. We do not guarantee the accuracy of data synced from third-party services.

Data Accuracy: Traffic data displayed through our services is sourced from Traffic Logix via your API credentials. We do not independently verify this data. You should not rely solely on data from our services for safety-critical decisions, grant applications, legal proceedings, or regulatory compliance without independent verification.

Accessibility: While we strive to make our services accessible, we do not warrant that public dashboards meet all accessibility standards (including ADA, Section 508, or WCAG). You are responsible for ensuring that your use of our services complies with any accessibility requirements applicable to your organization.


10. Limitation of Liability

To the maximum extent permitted by law, Gov Noodle shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from (a) your use or inability to use our services; (b) any unauthorized access to or use of our servers or any personal information stored therein; (c) any interruption or cessation of our services; (d) any bugs, viruses, or similar issues transmitted through our services; or (e) any errors or omissions in any content.

Our total liability for any claims arising from or related to these Terms or our services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.


11. Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Gov Noodle and its officers, directors, employees, and agents from any third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from (a) your violation of these Terms, (b) your violation of any rights of another party, or (c) any claim that data you provided or made public infringes or violates any third-party rights.

Government Entities: We acknowledge that certain government entities may be limited in their ability to indemnify third parties under applicable law. To the extent such limitations apply, the indemnification obligations above shall apply only to the extent permitted by applicable law and the entity's governing authority.


12. Termination

By You: You may cancel your subscription at any time by contacting us at hello@govnoodle.com. Cancellation takes effect at the end of your current billing period.

By Us: We may terminate your access for material breach of these Terms after providing 30 days written notice and opportunity to cure, except that we may suspend or terminate immediately without notice for (a) non-payment, (b) violation of Section 5 (Acceptable Use), or (c) conduct that threatens the security or integrity of our services.

Effect of Termination: Upon termination, your right to use our services ceases. You may request an export of your data within 30 days of termination; after that period, we may delete your data.

Survival: Provisions that by their nature should survive termination will survive, including intellectual property, disclaimers, limitations of liability, and indemnification.


13. Confidentiality

We will maintain the confidentiality of your API keys, account credentials, and other non-public information you provide to us. We will not disclose such information to third parties except as necessary to provide our services, as required by law, or with your consent. You agree to maintain the confidentiality of any non-public information about our services, pricing, or systems that we provide to you.


14. Force Majeure

Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, pandemics, strikes, shortages of transportation, facilities, fuel, energy, labor, or materials, failure of third-party services including Traffic Logix, or failures of the internet or telecommunications infrastructure.


15. Modifications to Terms

We may modify these Terms from time to time. For material changes, we will provide at least 30 days advance notice via email to the address associated with your account before the changes take effect. Your continued use of our services after the effective date constitutes acceptance of the modified Terms. If you do not agree to the changes, you may terminate your subscription before the changes take effect.


16. Governing Law and Disputes

These Terms are governed by the laws of the State of New York, without regard to its conflict of laws principles. Any disputes arising from these Terms or your use of our services shall be resolved in the state or federal courts located in Orange County, New York, and you consent to the personal jurisdiction of such courts. Nothing in these Terms shall prevent either party from seeking injunctive or other equitable relief from any court of competent jurisdiction.


17. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Gov Noodle regarding our services.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
  • Waiver: Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
  • Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights without restriction.
